The ground rules, in plain words.

These Terms & Conditions (“Terms”) are an agreement between you and Subha Prasad, who develops and operates BalanceUp (“BalanceUp”, “we”, “us”). They apply to the BalanceUp mobile apps, this website and the related services (together, the “Service”).

By creating a BalanceUp account or using the Service, you agree to these Terms, our Privacy Policy and our User Guidelines. If you don’t agree, please don’t use BalanceUp.

BalanceUp is a record-keeping and calculation tool. It helps you keep personal ledgers (“Accounts”) with Due tracking, record shared expenses in groups, split them and see suggested settlements.

• BalanceUp does not move money. It does not process payments, hold funds, provide a wallet, lend money or connect to your bank. Recording a Full Pay, Part Pay or settlement only notes a payment you made elsewhere.
• BalanceUp is not financial, tax or legal advice. Balances and suggestions are calculated from what users record and are for your convenience.
• Settling up is between you and the other people involved. We are not a party to any arrangement, debt or dispute between users, guests or third parties.

You must be at least 18 years old and able to form a binding contract to use BalanceUp. By using it you confirm this is true, and that you are not barred from using it under any applicable law.

• Give accurate information when you sign up and keep it up to date.
• You are responsible for keeping your PIN, one-time codes and devices secure, and for activity under your BalanceUp account. Tell us straight away at [email protected] if you suspect unauthorised use.
• You may not share your login, create an account for someone else without their permission, or impersonate anyone.
• You can delete your BalanceUp account at any time — see Delete account.

“Your content” means the information you add to BalanceUp — accounts, entries, payments, groups, expenses, notes, guests, names and images. You keep ownership of it.

You give us a limited, worldwide, non-exclusive, royalty-free licence to store, copy, process and display your content only as needed to operate, secure and improve the Service — for example, to show a group expense to the other members of that group. This licence ends when your content is deleted, except for copies kept as described in our Privacy Policy.

You are responsible for your content and confirm you have the right to add it — including any personal details of guests, which you should add only with their agreement.

• Everything added to a group is visible to its members. Only add what you are comfortable sharing with them.
• The group creator is its admin. Admins can set group permissions, edit or delete expenses, close the group and, where permitted, delete it. Members can manage the expenses they added while the group is active.
• Closing a group makes its records read-only. Deleting a group removes it for all members and cannot be undone.
• If you delete your BalanceUp account, group expenses you took part in remain, without your name, so the other members’ balances stay correct.

Changes you make offline are saved on your device and sent to our servers when you reconnect. Because groups are shared, a change may no longer be allowed by the time it arrives — for example, if the group was closed or your permissions changed. In that case the change is not saved, your device is updated to the current version and the app tells you why. Data that has not yet synced exists only on your device; if you sign out while offline, or lose or reset your device before syncing, those changes may be lost.

You agree to follow our User Guidelines. In particular, you must not use BalanceUp to break the law, record or conceal fraud or money laundering, harass anyone, upload unlawful or offensive content, collect other users’ data, interfere with or overload the Service, bypass its security or limits, or copy, reverse-engineer or resell it.

If we ever offer paid features, their price and terms will be shown clearly before you are charged, and purchases through the App Store or Google Play are also governed by those stores’ terms. BalanceUp never charges for, or takes a cut of, money settled between users.

BalanceUp relies on third-party services such as app stores, Google Sign-In, Facebook Login and push-notification services. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them.

The BalanceUp name, logo, app, website, design and software belong to Subha Prasad or their licensors. We give you a personal, non-exclusive, non-transferable, revocable licence to use the app on devices you own or control, for your own use, in line with these Terms. All other rights are reserved.

We are always improving BalanceUp and may add, change or remove features. We may suspend or end your access if you seriously or repeatedly break these Terms, if required by law, or to protect users or the Service — where reasonable, we will tell you first and explain why.

You can stop using BalanceUp and delete your BalanceUp account at any time. Sections that by their nature should survive termination (such as your content licence for retained copies, disclaimers and limitation of liability) will continue to apply.

We work hard to keep BalanceUp accurate and available, but the Service is provided “as is” and “as available”. To the extent permitted by law, we don’t guarantee that it will be uninterrupted, error-free or that records entered by users are complete or correct. Please keep your own records of anything important.

To the extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, data, goodwill or money settled between users, arising from your use of BalanceUp. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the twelve months before the claim, or ₹1,000 if you paid nothing.

Nothing in these Terms limits liability that cannot be limited under applicable law.

You agree to compensate us for reasonable losses and costs arising from your breach of these Terms or misuse of the Service, to the extent permitted by law.

If you downloaded BalanceUp from Apple’s App Store:

• These Terms are between you and us, not Apple, and we — not Apple — are responsible for the app and its content.
• Apple has no obligation to provide maintenance or support for the app.
• If the app fails to conform to any applicable warranty, you may notify Apple for a refund of any purchase price; to the maximum extent permitted by law, Apple has no other warranty obligation for the app.
• We, not Apple, are responsible for addressing any claims relating to the app, including product liability, legal or regulatory compliance, consumer protection, privacy and intellectual-property claims.
• You confirm that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

If you downloaded BalanceUp from Google Play, Google Play’s terms of service also apply to your download.

These Terms are governed by the laws of India. Before starting any formal proceedings, please contact us at [email protected] so we can try to resolve the issue informally. Subject to that, the courts of competent jurisdiction in India will have jurisdiction over any dispute.

We may update these Terms from time to time. We will post the updated version here with a new date and, for significant changes, notify you in the app or by email before they take effect. If you keep using BalanceUp after the changes take effect, you accept the updated Terms.
